BuzzOn Benefits Agent Agreements and Consent

1. Acceptance of Terms By accessing or using the BuzzOn Benefits Agent Platform ("Platform"), you agree to be bound by these Terms and Conditions ("Agreement"). If you do not agree with any part of this Agreement, you may not access or use the Platform.
2. License to Use the Platform BuzzOn Benefits grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for the purpose of selling BuzzOn Benefits products as an authorized agent. This license does not grant you ownership of any part of the Platform.
3. Payment Authorization & Subscription Terms
  1. Your card will be charged upon submission of your application.
  2. Upon successful verification, you will gain access to the system, including your sharable links.
  3. A recurring monthly charge will be applied at your purchase amount.
  4. You may cancel at any time, but fees already paid are non-refundable.
  5. Prices are subject to change. Any changes will be communicated to you in advance.
4. Licensing and Appointment Requirements
  1. The agent understands that to utilize the BuzzOn Benefits Agent Platform and sell BuzzOn Benefits products, they must:
    • Pay and maintain their platform license fee.
    • Be licensed to sell life insurance in the State of Alabama.
    • Be appointed with BuzzOn Benefits' insurance carrier(s).
  2. The agent agrees that submission of this form and payment does not constitute approval to sell. Approval requires submission of the required documents and verified formal appointment by the carrier(s).
  3. The agent acknowledges that BuzzOn Benefits is not liable for any delays in processing the application or obtaining appointment with its insurance carriers.
  4. Following submission of payment for the licensing fee, the agent understands that they may receive communications via phone, text, and email regarding the processing of their application. The agent agrees to reply in a timely manner to requests for information to avoid delays in their application process.
  5. Upon approval, the agent will receive communications regarding how to access the BuzzOn Benefits Agent Platform and their shareable link(s).
5. Refund Policy
  1. All payments made for access to the BuzzOn Benefits Agent Portal are non-refundable under any circumstances.
  2. No refunds will be issued due to:
    • Failure to obtain the required life insurance license in Alabama.
    • Failure to complete the appointment process with the insurance carrier(s).
    • Failure to use the Platform after purchase.
    • Dissatisfaction with sales performance.
    • Any reason outside of system errors or technical failures directly caused by BuzzOn Benefits.
  3. In cases of duplicate charges or billing errors, please contact BuzzOn Benefits support within 7 days of the charge for resolution.
  4. By making a payment, you acknowledge and agree that all sales are final and no refunds will be granted.
6. Prohibited Activities
  1. Reverse engineer, disassemble, decompile, modify, or create derivative works from any aspect of the Platform.
  2. Abuse, misuse, or exploit the Platform in any manner contrary to its intended purpose.
  3. Attempt to access or use another agent’s account without authorization.
  4. Engage in fraudulent, deceptive, or misleading sales practices.
  5. Use the Platform for any unlawful activities.
  6. Intellectual Property The Platform, including its design, layout, appearance, and all associated intellectual property, is owned by or licensed to BuzzOn Benefits. You may not copy, reproduce, or distribute any part of the Platform without prior written consent from BuzzOn Benefits.
7. Agent Support Responsibilities & Indemnification
  1. Support & Service Obligations
    The Agent acknowledges and agrees that they are solely responsible for providing all necessary customer support, service, and assistance to any customers, clients, or entities they engage with or sell to via the BuzzOn Benefits platform. This includes, but is not limited to, addressing customer inquiries, resolving service issues, handling disputes, and ensuring proper delivery and fulfillment of any commitments made to customers. BizPower360, DBA BuzzOn Benefits, and its affiliates shall have no obligation to provide direct support or service for customers acquired by the Agent.
  2. Indemnification & Hold Harmles
    The Agent agrees to defend, indemnify, and hold harmless BizPower360, DBA BuzzOn Benefits, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and business partners (collectively, the “Indemnified Parties”) from and against any and all claims, demands, losses, damages, liabilities, costs, expenses, and legal fees (including reasonable attorneys’ fees) arising from or relating to:
    1. Any failure by the Agent to provide adequate service, support, or fulfillment to customers;
    2. Any misrepresentation, error, omission, or misconduct by the Agent in connection with their sales, service, or marketing activities;
    3. Any breach of this Agreement, applicable laws, or regulatory requirements by the Agent; and
    4. Any disputes, claims, or legal actions brought by customers, third parties, or regulatory bodies resulting from the Agent’s activities.
  3. Limitation of Liability
    The Indemnified Parties shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from the Agent’s interactions with customers. The Agent assumes full responsibility for any liabilities incurred in connection with their sales and service activities.
  4. Survival
    The obligations set forth in this clause shall survive the termination of this Agreement.
8. Compliance with Sales & Marketing Policies
  1. You agree to represent BuzzOn Benefits products truthfully and in accordance with company guidelines.
  2. Unauthorized marketing claims, misrepresentations, or unethical sales tactics may result in immediate termination of your access to the Platform and forfeiture of commissions.
9. Phone Sales Compliance & Indemnification Clause
  1. Agent Responsibilities
    The Agent acknowledges and agrees that they are solely responsible for complying with all applicable laws, regulations, and industry standards related to phone sales and customer interactions. The Agent’s responsibilities include, but are not limited to:

    Legal Compliance
    Adhering to all applicable federal, state, and local laws, including but not limited to:
    1. The Telephone Consumer Protection Act (TCPA)
    2. The Telemarketing Sales Rule (TSR)
    3. The Electronic Signatures in Global and National Commerce Act (E-SIGN Act)
    4. The Health Insurance Portability and Accountability Act (HIPAA) (if applicable)
    5. Any state-specific consumer protection laws
  2. Recording of Conversations
    1. Ensuring compliance with all federal and state laws regarding the recording of telephone conversations, including obtaining prior consent when legally required.
    2. Maintaining records of conversations as necessary for compliance and dispute resolution.
  3. Protection of Consumer Information
    1. Implementing reasonable safeguards to protect consumers’ personal and financial information from unauthorized access, disclosure, or misuse.
    2. Adhering to all applicable data privacy regulations, including the Gramm-Leach-Bliley Act (GLBA) and relevant state laws.
  4. Completion of Transactions
    1. Ensuring that all transactions, enrollments, and agreements are properly completed in accordance with applicable laws and ethical standards.
    2. Providing clear and accurate disclosures to customers regarding terms, conditions, and obligations.
  5. Indemnification of the Company
    The Agent agrees to fully indemnify, defend, and hold harmless BuzzOn Benefits, BizPower360, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, fines, penalties, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising from:
    1. Any violation of applicable laws, rules, or regulations by the Agent.
    2. Any unauthorized, misleading, or fraudulent sales activities conducted by the Agent.
    3. Any failure to properly record or disclose information to customers as required by law.
    4. Any breach of confidentiality or mishandling of consumer data by the Agent.
    5. Any third-party claims, lawsuits, or government investigations related to the Agent’s actions or omissions.
  6. Defense Obligation
    1. The Agent agrees to assume full responsibility for defending BuzzOn Benefits, BizPower360, its officers, directors, employees, agents, and affiliates against any claims or legal actions brought against it as a result of the Agent’s actions.
    2. The Agent shall, at their own expense, retain legal counsel acceptable to BuzzOn Benefits to defend against such claims.
    3. The Company reserves the right to participate in its own defense at its own expense but shall not be obligated to do so.
  7. Independent Contractor Status
    1. The Agent acknowledges that they are acting as an independent contractor and not as an employee, partner, or representative of BuzzOn Benefits or BizPower360.
    2. The Agent is solely responsible for their own taxes, insurance, and business expenses.
  8. Termination & Liability
    1. The Company reserves the right to terminate the Agent’s access to the platform and services at any time if the Agent is found to be in violation of this agreement.
    2. Termination does not relieve the Agent of any existing indemnification obligations.
10. Non-Circumvention
Agent agrees that, upon submission of this Agreement or by accessing the platform and for a period of 5 years after cancellation, Agent shall not, directly or indirectly, by itself or through any third party, engage in any activities that circumvent or attempt to circumvent BizPower360, DBA BuzzOn Benefits, including but not limited to:
  1. Platform Compliance: Agent shall not bypass or avoid the use of the BuzzOn Benefits platform in any manner that undermines its established processes, technology, or intended functions.
  2. Established Relationships: Agent nor any of its partners, affiliated entities, or representatives, shall not, without prior written consent from BizPower360, directly or indirectly solicit, contact, or engage with any partners, vendors, or affiliates of BuzzOn Benefits for the purpose of providing, offering, or selling similar competing services, products, or solutions.
  3. Product Integrity: Agent shall not use, replicate, modify, sell, or distribute any products, services, or proprietary materials offered through the BuzzOn Benefits platform outside of the approved channels set by BizPower360.
  4. No Workarounds: Agent shall not create, develop, or participate in any process, strategy, or partnership intended to bypass BizPower360’s compensation structures, referral systems, or revenue-sharing agreements.
  5. Breach & Remedies: Any violation of this clause shall be considered a material breach of this Agreement, entitling BizPower360 to seek immediate injunctive relief, damages, and any other legal remedies available, including but not limited to disgorgement of profits, attorneys' fees, and court costs.
  6. Survival: The obligations in this clause shall survive the termination of this Agreement for the duration specified above.
11. Disclaimer of Warranties
  1. The Platform is provided "as is" and "as available" without any warranties of any kind, either express or implied.
  2. BuzzOn Benefits does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.
12. Limitation of Liability In no event shall BuzzOn Benefits or its affiliates be liable for any damages, including but not limited to loss of data, loss of profits, or business interruptions, arising from the use or inability to use the Platform.
13. Third-Party Links & Services The Platform may contain links to third-party services. BuzzOn Benefits is not responsible for the content, privacy policies, or practices of these third parties.
14. Changes to Terms BuzzOn Benefits reserves the right to update or modify these terms at any time. Continued use of the Platform after changes are made constitutes acceptance of the new terms.
15. Governing Law and Arbitration This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles.

Any dispute arising out of or relating to this Agreement, including any question regarding its existence, validity, or termination, shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Nashville, Tennessee, and shall be conducted in English. The decision of the arbitrator shall be final and binding on both parties.

By submitting your information, or by accessing the platform you agree to the terms and conditions of this agreement. You agree that you waive any right to bring or participate in a class action, collective action, or representative action against BizPower360, DBA BuzzOn Benefits, its parent companies, subsidiaries, partners and vendors. All claims must be brought on an individual basis only.
16. Termination

BuzzOn Benefits reserves the right to terminate or suspend your access to the Platform at any time, with or without cause, including but not limited to breaches of these terms.

BuzzOn Benefits License Fee Refund Policy

  • All payments made for access to the BuzzOn Benefits Agent Portal are non-refundable once the verification process is complete and access is granted.
  • If you choose to cancel your subscription, your access will remain active until the end of your current billing period, but no partial or prorated refunds will be issued.
  • Refunds will not be issued due to failure to use the Platform, dissatisfaction with sales performance, or any other reason outside of system errors or technical failures directly caused by BuzzOn Benefits.
  • In cases of duplicate charges or billing errors, please contact BuzzOn Benefits support within 7 days of the charge for resolution.
